Ours, pending counsel sign-off. Bonterms publishes no standard refund form, so this Policy is ElasticD3M's own. It is an Attachment to the Terms of Service, which is how it reaches the refunds that Section 10.1 of the Bonterms Standard Online Cloud Terms allows where "expressly set out". The whole Policy is pending sign-off by counsel.
CMMC Level 2 Readiness Snapshot™, One-Time Purchase
The CMMC Level 2 Readiness Snapshot™ is a one-time engagement of $999. The Level 2 Readiness Snapshot is fully refundable if requested before the PDF report has been delivered to Customer's inbox, as set out in "How to Request a Refund" below. Once the PDF report has been delivered, the engagement is complete and the fee is non-refundable, as the deliverable's value has been transferred.
CMMC Level 1 Readiness Snapshot, One-Time Purchase
The CMMC Level 1 Readiness Snapshot is a one-time engagement of $299. Level 1 checkout is not open yet; this section applies once it opens. The Level 1 Readiness Snapshot is fully refundable if requested before its PDF has been delivered to Customer's inbox, as set out in "How to Request a Refund" below. Once the PDF has been delivered, the fee is non-refundable, except as the credit below provides.
Readiness Subscriptions, No Free Trial
The Standing, Sentinel, Garrison, Standard, Fortress, and Sovereign readiness subscriptions are billed via Stripe, annually in advance by default or monthly in advance on the month-to-month option. The Level 1 Starter subscription (once Level 1 checkout opens) is billed via Stripe, monthly or annually in advance, as selected at checkout, on the same terms. Subscriptions begin and are charged immediately upon purchase. Cancellation is self-serve in Customer's Stripe billing portal. Written notice to legal@elasticd3m.com from the email address on file also cancels, as set out in "How to Cancel" below.
Cancellation stops auto-renewal effective at the end of Customer's then-current paid period (the paid year on the annual option, the paid month on the month-to-month option). Access to the Services continues through that period, and Customer may export its readiness record until it ends. Fees already billed for a paid period are not refunded, except as this Policy and the Terms of Service expressly provide (see "Refunds the Terms provide" below).
How to Cancel
- Stripe billing portal: a link is included in Customer's subscription welcome email and on the onboarding page that email opens. Cancelling in the portal stops the subscription at the end of the then-current paid period. If the portal cannot be opened, that link says so in plain language and the written-notice method below is honoured identically. The subscription’s current billing link can be sent again to the email address on file from the help page at any time.
- Cancel at the end of the current period: the page the billing link opens when the portal cannot be opened offers this button, and it has its own page reached from the onboarding page. It stops the subscription at the end of the then-current paid period without the portal, after a confirm step that states the date, and a confirmation is emailed to the address on file.
- Written notice: a cancellation sent to legal@elasticd3m.com from the email address on file is honoured exactly as a cancellation made in the portal is.
How to Request a Refund
A refund of a one-time Snapshot is requested with the Request a refund button on the purchase’s order status page. That page opens from the Order status line in the “Your ai4cmmc.ai links” email, which the help page sends again to the email address on the purchase at any time, and from the purchase’s onboarding page. The page applies this Policy to the purchase and says whether it qualifies. A qualifying request stops preparation at once; the refund is issued to the original payment method once it is approved, and its status shows on the order status page and arrives by email.
A subscription’s first payment can be requested back with the Request a refund button on the subscription’s order status page in two cases, each only before preparation of the first readiness package has started: the payment was taken while checkout was paused, or the intake was refused because the organization is not located in the United States. These are refunds under “Exceptions” below. The page says whether the payment qualifies, and a qualifying request stops preparation at once. If the refund is approved, the subscription ends when the refund is issued, the first payment is refunded to the original payment method, and the status shows on the order status page and arrives by email.
Any other subscription payment is not requested on the order status page. When a subscription ends before its paid period runs out, for a reason other than non-payment, a refund or a dispute, the unused part of that period is calculated pro rata and a refund of it is opened for approval without a request. Any other refund this Policy and the Terms of Service provide for a subscription is requested by written notice to legal@elasticd3m.com.
CMMC Level 2 Readiness Snapshot Credit Toward a Level 2 Subscription
If Customer continues to a Level 2 subscription (any CMMC Level 2 readiness tier at ai4cmmc.ai/pricing) within thirty (30) days after receiving the CMMC Level 2 Readiness Snapshot™ PDF, the $999 paid for the Level 2 Readiness Snapshot credits to Customer's first Level 2 subscription invoice, whichever billing option Customer selects. The $999 does not credit toward a Level 1 Starter subscription; Level 1 Starter has its own credit for the CMMC Level 1 Readiness Snapshot, below. The credit applies when Customer subscribes through a Stripe Payment Link on ai4cmmc.ai with the same billing email used for the Level 2 Readiness Snapshot. The match is checked automatically when the subscription starts, and the status of the credit shows on the order status page of the Level 2 Readiness Snapshot.
How the credit is applied. A subscription is charged in full when Customer subscribes, so Customer's first subscription invoice is already paid when the credit is applied. ElasticD3M therefore applies the credit as a refund of that first subscription payment, to Customer's original payment method, up to the amount of that payment. Where the $999 exceeds Customer's first Level 2 subscription payment, the remainder is held as an account credit on Customer's Stripe customer record and draws down against Customer's next invoice or invoices until it is used. This credit is a specific exception to the rule above that fees already billed for a paid period are not refunded.
CMMC Level 1 Readiness Snapshot Credit Toward Level 1 Starter
If Customer starts a Level 1 Starter subscription with the same billing email within thirty (30) days of receiving the CMMC Level 1 Readiness Snapshot PDF, the $299 paid for the Level 1 Readiness Snapshot is credited in full: as a refund of the first Level 1 Starter payment, to Customer's original payment method, up to the amount of that payment, with any amount above that payment held as an account credit on Customer's Stripe customer record and applied to the invoices after it. A Snapshot is credited once. This credit is a specific exception to the rule above that fees already billed for a paid period are not refunded.
Refunds the Terms provide
The Terms of Service and their Attachments also refund prepaid, unused fees for a terminated portion of a Subscription Term in these cases, and this Policy does not limit them. There is no warranty refund: Section 5.1 of the Terms of Service supersedes the Performance Warranty in Section 6.2 of the Standard Terms, and the Cloud Service is provided as is.
- Section 5.3 (Infringement Remedy) of the Terms of Service, where Provider chooses to terminate an affected Order in response to an infringement claim.
- Section 19.8 (Force Majeure) of the Standard Terms, after 15 or more consecutive days.
- Section 4.4 of the Bonterms Data Protection Addendum, after an unresolved objection to a new Subprocessor.
- Section 4 of the Bonterms Service Level Agreement, after Multiple Failures.
Delivery, Not Content
This Policy governs delivery, not the content of any deliverable. Provider does not warrant the accuracy or completeness of output (Section 4 of the Terms of Service), and dissatisfaction with the content of a delivered report is not a basis for a refund under this Policy. This Policy does not limit any remedy the Terms of Service provide.
Exceptions
ElasticD3M, LLC may at its discretion grant refunds beyond what this Policy requires (for example, in cases of demonstrated service failure or error on our part). Any such refund is exceptional and does not modify this Policy.
